1. Scope and Addressees
These Terms of Service govern the use of the Infraport platform, including its web pages, subpages, forms, database functions, communication interfaces and other technical services, insofar as Users make, maintain or manage content visible there.
The Platform is intended exclusively for entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law, special funds under public law, universities, research institutions, institutes, companies and other organisations (hereinafter: Users). Use by consumers within the meaning of § 13 BGB is excluded. By registering, using the Platform or posting content, the User confirms that they are acting exclusively in the exercise of their commercial, professional, scientific, institutional or official activity.
Conflicting or supplementary terms of the User only become part of the contract if the Operator has expressly agreed to their validity in text form.
2. Role of the Platform; No Accession to Contracts; No Duty to Verify or to Achieve Results
Infraport provides exclusively a technical platform for making visible, describing, structuring and finding research infrastructure, laboratories, equipment, services and other content, and for initiating contacts in connection with them.
The Operator does not become a contracting party of Users, interested parties, providers or other third parties (hereinafter referred to as Participants). In particular, the Operator does not act as representative, broker liable for success, commercial agent, commission agent, custodian, appraiser, expert, guarantor, testing body or other vicarious agent of the Users.
The Operator owes neither a successful brokerage nor any particular reach, visibility, findability, demand, utilisation, contact rate, conversion or the conclusion of contracts. Furthermore, the Operator owes no verification of the identity, creditworthiness, power of representation, regulatory permissibility, availability, capability, legal authority, technical suitability, security, quality, accuracy or completeness of Users or content, unless there is a mandatory legal obligation to do so.
The Operator is not obliged to proactively monitor content, to review it legally or professionally, or to investigate it for possible legal infringements, unless there is a legal obligation to do so.
3. Registration, User Account and Authority to Represent
The use of certain features requires registration. The User must provide complete, accurate and up-to-date information upon registration and throughout the entire period of use, and must update any changes without undue delay.
Registrations may only be made by persons authorised to do so. Anyone who creates or manages a user account for an organisation warrants to the Operator that they are legally and actually authorised to do so. The Operator is not obliged to verify the authority to represent separately.
Login credentials must be kept secret and protected against unauthorised access. The User must inform the Operator in text form without undue delay of any suspected misuse, security incident or unauthorised access. The Operator is entitled to block user accounts temporarily or permanently for security reasons. The User will be informed of this.
4. Obligations of the User; Responsibility for Content
The User is responsible for all content they post, link, upload, release, maintain or otherwise transmit. This applies in particular to texts, images, logos, documents, technical data, specifications, service descriptions, price information, capacity information, certifications, availability information, contact details, trademarks, identifying marks and information on equipment, laboratories, services and personnel.
The User ensures that
- all content is accurate, not misleading and legally permissible for its intended purpose,
- they hold all necessary rights, consents, approvals, permits and authorisations,
- no rights of third parties are infringed, in particular copyrights, related rights, trademark rights, name rights, personality rights, data protection rights, trade secrets or other protected rights,
- no statutory prohibitions, public-law requirements, export control regulations, confidentiality obligations, security requirements, university regulations or service regulations are violated, and
- no harmful code, malware, manipulative scripts or other technically harmful elements are distributed through the content.
Users are obliged to back up their content at their own expense. The Operator owes no data backup for the benefit of the User and no restoration of deleted content, unless expressly agreed otherwise.
5. Indemnification
The User indemnifies the Operator upon first demand against all claims, demands, damages, losses, fines, costs and expenses asserted out of or in connection with
- the content posted or otherwise transmitted by the User,
- the use of the Platform by the User,
- a breach by the User of these Terms of Service or of statutory provisions,
- an infringement of the rights of third parties,
- an inaccurate, misleading or incomplete description of services or products.
6. Rights of Use
The rights to the posted content remain with the User. To enable the Operator to run the Platform and to make the content visible as contractually intended, the User grants the Operator a simple (non-exclusive), royalty-free right of use. This includes the right to store, host, format, tag and make the content publicly accessible within the scope of the Platform's purpose. The Operator is entitled to pass these rights on to technical service providers (e.g. hosting providers) to the extent necessary.
7. Prohibited Use
The following are prohibited in particular:
- posting unlawful, misleading, deceptive, insulting, discriminatory, trade-secret-infringing or otherwise impermissible content,
- pretending to have false identities, responsibilities or authorisations,
- impairing, circumventing or endangering the security, integrity or availability of the Platform,
- any automated use, in particular crawlers, bots, scrapers, spiders, parsers, harvesting or similar technologies, unless expressly approved by the Operator,
- systematically or massively reading out, copying, mirroring, storing, republishing or commercially exploiting Platform content,
- circumventing technical protection measures or access restrictions, and
- any other use that legally, technically or economically endangers or unreasonably burdens the Operator, other Users or third parties.
8. Content Moderation; Notice of Illegal Content; Point of Contact
The Operator is entitled, but not obliged, at its own dutiful discretion, to review, restrict, hide, add warnings to, provisionally deactivate or permanently remove content, user accounts and other uses if
- there are indications of a legal infringement,
- a breach of these Terms of Service exists or is imminent,
- there are security, integrity, misuse, reputational or liability risks for the Operator or third parties,
- the User has posted content that is evidently incomplete, misleading, implausible or unverifiable, and fails to correct or verify it within a period of 14 days despite a request from the Operator,
- official, judicial or other binding requirements suggest this, or
- continued provision cannot reasonably be expected of the Operator for other legitimate reasons.
Where required by law, the affected User will be informed in advance of significant moderation measures and the reasons for them. The Operator is entitled to take measures without prior notice if this appears necessary for legal, technical, security-related or misuse-related reasons.
Notices of allegedly illegal content may be sent to the Operator. Notices should contain a sufficiently specific description of the content complained of, its location and a comprehensible justification. The Operator processes incoming notices in accordance with the applicable statutory requirements, in particular the Digital Services Act and the German Digital Services Act (Digitale-Dienste-Gesetz, DDG).
9. Availability, Changes and Discontinuation of the Platform
The Operator does not owe uninterrupted, error-free or any particular availability of the Platform. In particular, the Platform may be restricted in whole or in part, temporarily or permanently, due to maintenance, updates, migrations or for other reasons, provided that no mandatory primary contractual obligations are thereby violated. Participants have no claim to the retention of particular features or forms of presentation.
The Operator is entitled to adapt the Platform's software and to make changes, provided that no mandatory primary contractual obligations are thereby violated.
10. Liability of the Operator
The Operator is liable without limitation for intent and gross negligence and for culpable injury to life, body or health. Liability under the German Product Liability Act (Produkthaftungsgesetz) and under other mandatory statutory provisions remains unaffected.
In cases of simple negligence, the Operator is only liable for the breach of an essential contractual obligation, the fulfilment of which makes the proper performance of the user relationship possible in the first place and on whose observance the User may regularly rely. In this case, the Operator's liability is limited to the foreseeable damage typical for the contract at the time the contract was concluded.
Otherwise, the Operator's liability for simple negligence is excluded. To the extent permitted by law, liability is excluded in particular for indirect damage, consequential damage, lost profits, lost savings, business interruptions, production downtime, reputational damage, financing damage, data loss, data recovery costs and damage arising from claims of third parties.
11. Blocking, Termination and Deletion
The User may end their use at any time and request the deletion of their user account in text form. The Operator is entitled to temporarily block, restrict or permanently delete user accounts and content, in whole or in part, at any time if there is an objective reason to do so. An objective reason exists in particular in the cases listed in section 8. The Operator is furthermore entitled to terminate the user relationship with or without notice, provided there is a statutory or contractual basis for doing so. The User will be informed of this at least 2 weeks before expiry. The Operator is obliged to delete the User's content and data after the end of the contract.
After termination of the contract, there is no claim to the restoration of deleted content, data or accounts.
12. Changes to these Terms of Service
The Operator is entitled to amend these Terms of Service with effect for the future if there is an objective reason to do so, in particular in the event of changes in the legal situation, case law, regulatory requirements, the security situation, market conditions, technical framework conditions or the Platform's range of functions.
The User will be informed of changes in text form or in another suitable manner. If the User does not object to a notified change within 30 days of receipt of the notification, the changes are deemed accepted, provided that the Operator has specifically pointed out this consequence. In the event of a timely objection, the Operator is entitled to terminate the user relationship with ordinary notice.
Purely editorial changes, structural changes that place no substantive burden on the User, and adjustments mandatorily required by law may be implemented without observing the above period.
13. Data Protection and Communication
The processing of personal data is governed by the Operator's separate Privacy Policy. Where the User transmits or makes visible personal data of third parties, the User is the controller responsible for this under data protection law.
Legally relevant declarations by the User to the Operator require at least text form, unless stricter statutory form requirements apply.
14. Applicable Law, Place of Jurisdiction, Partial Invalidity
The law of the Federal Republic of Germany applies, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG), insofar as its application can be excluded.
To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms of Service is Leipzig.
Should individual provisions of these Terms of Service be or become wholly or partially invalid, unenforceable or impracticable, the validity of the remaining provisions remains unaffected. The invalid, impracticable or unenforceable provision shall be replaced by a valid provision that comes closest to the economic purpose of the provision concerned. The same applies to gaps in these provisions.
